FortuMars IT Services Quotation Agreement

1 Quotation Validity
This quotation shall remain valid for calendar days (Refer the validity days mentioned in the quotation) from the date of issuance, unless otherwise extended in writing by FortuMars.
Any revision in service scope, pricing, or statutory taxes during this period may lead to an updated quotation.
2 Scope of Services & Deliverables
Services shall strictly be as defined under the "Scope of Work" section of the quotation. Any additional features, modules, or enhancements requested by the Client outside the agreed scope shall be treated as a Change Request.
Change Requests shall follow FortuMars’ Change Management Process, which includes impact assessment, revised timelines, and additional cost approval before implementation.
Deliverables may include but are not limited to:
3 Pricing & Taxes
Prices mentioned are exclusive of applicable GST, duties, levies, and other statutory taxes.
Any increase in statutory taxes during the project tenure shall be borne by the Client. Pricing is based on the assumptions and requirements provided by the Client at the time of proposal. Any deviation from these may impact costs.
4 Payment Terms
50%
Advance
On confirmation & before initiation.
30%
Milestones
Upon completion of agreed deliverables.
20%
Final Delivery
Before go-live and acceptance testing.
Invoices shall be payable within 24 hours from the date of invoice.
Delayed payments shall attract 1.5% interest per month.
All payments must be made in INR (Indian Rupees) via bank transfer or any mode officially approved by FortuMars.
5 Project Governance & Client Responsibilities
The Client shall:

Nominate a Single Point of Contact (SPOC) for project coordination.

Provide timely feedback, approvals, and access to required systems, data, and resources.

Ensure all infrastructure dependencies (servers, databases, licenses, connectivity) are in place.
Note: Delays caused due to Client dependencies may extend delivery timelines.
6 Intellectual Property Rights (IPR)
All custom-developed software code, documentation, and deliverables may become the property of the Client upon full payment according to the SLA.
FortuMars shall retain ownership of its pre-existing intellectual property, tools, frameworks, libraries, methodologies, and know-how used during the project.
The Client is granted a non-exclusive, non-transferable license to use such pre-existing components embedded in the solution.
7 Confidentiality & Data Protection
Both parties agree to maintain strict confidentiality of all technical, financial, or business information exchanged during the engagement.
FortuMars shall comply with industry-standard data security practices, including secure access controls, encryption, and restricted data handling.
FortuMars shall not be liable for breaches caused by Client-side infrastructure, third-party hosting, or user negligence.
8 Acceptance & Testing
Deliverables shall undergo User Acceptance Testing (UAT) by the Client.
The Client must provide feedback or acceptance confirmation within 5 business days of delivery. If no response is received, the deliverable shall be deemed accepted by default.
9 Warranty & Support
FortuMars provides a 30-day warranty period post-implementation to rectify defects or malfunctions in delivered software attributable to FortuMars.
Warranty does not cover:
- Third-party system issues
- Unauthorized modifications
- Changes in client infrastructure or environment
Extended Annual Maintenance Contract (AMC) and Service Level Agreement (SLA)-based support can be availed under a separate quotation.
10 Limitation of Liability
FortuMars’ liability shall not exceed the total value of fees paid by the Client under this quotation.
FortuMars shall not be liable for indirect, incidental, or consequential damages, including but not limited to: loss of revenue, loss of data, loss of business opportunities, or system downtime due to third-party issues.
11 Termination
Either party may terminate the engagement with 30 days’ written notice.
Upon termination, the Client shall pay FortuMars for all work completed and resources utilized up to the effective termination date. FortuMars reserves the right to suspend services in case of non-payment or breach of terms.
12. Force Majeure
Neither party shall be held liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, war, strikes, pandemics, government restrictions, or cyberattacks.
13. Non-Solicitation
The Client agrees not to solicit or hire FortuMars employees involved in the project during engagement and for 12 months post-completion, without prior written consent.
14. Governing Law & Jurisdiction
This quotation and subsequent engagement shall be governed by the laws of India. All disputes shall be subject to the exclusive jurisdiction of the courts in
